Business Resilience Service

By using the Business Resilience Service (the “Service”), you agree that you have read, understood and agree to be bound by the following terms and conditions (the “Terms”).  If you do not agree with these terms and conditions, you do not have our permission to use the Service, and must immediately cease all use of the Service.

1. SCOPE OF ASSISTANCE

The Service is a dedicated support line to assist small and medium-sized businesses, not-for-profits, and charities (“Callers”) by providing information & assistance, answering questions and discussing options associated with the various economic stimulus programs associated with the COVID-19 pandemic.

Please note that there are certain limitations on the assistance that can be provided via this Service.  We will do our best to address your questions, and discuss possible options and approaches, based on the information you share.  The assistance provided to you will necessarily reflect the specific scope of assistance that is requested, the amount and accuracy of information you provide to us, and the nature of any call-centre medium where assistance is provided to callers without a prior engagement history or prior background.

The various economic stimulus programs associated with Covid-19 are constantly changing.  Eligibility is ultimately decided by various levels of government and is outside of our control.  By using the Service you are not applying for support programs – you need to separately apply to the various governmental authorities responsible for the applicable support programs.

The Service is an initiative of the Canadian Chamber of Commerce (the “Chamber”) and is operated by certain professional services firms including Ernst & Young LLP (“the Firms”).  The Service is funded by the Government of Canada (“Canada”) but Canada has no involvement in the operation of the Service.

We strongly advise you to follow up with your own professional advisors for detailed advice with regard to your particular circumstances.

2. “AS IS” – USE AT YOUR OWN RISK 

The Service is being made available free of charge, on an “AS IS” basis.  We do not guarantee or accept liability for the accuracy, reliability, currency or completeness of any assistance provided to you as part of the Service.  The Service is being made available without warranty of any kind, either express or implied (including any warranties of fitness for a particular purpose or that the Service will be uninterrupted or error free).  By using the Service you release the Chamber, the Firms and the Government of Canada from all liability for claims, losses, expenses, damages and costs you incur in connection with the Service.  Use the Service at your own risk. 

3. NO LIABILITY TO YOU

Under no circumstances shall the Chamber, the Firms, the Government of Canada or any other party be liable to you for any loss or damages whatsoever, including any indirect, special, incidental or consequential damages, arising out of or in connection with your use of the Service (and including any lost profits, business interruption or loss of data).  This limitation applies regardless of the form of action that may be brought by you (including negligence) and even if we have been advised of the possibility of any such loss or damages.  You agree not to bring any claim, proceeding or complaint of any kind against the Chamber, the Firms, the Government of Canada or any other party arising out of or relating to the Service.

4. INDEMNITY

You agree to indemnify and hold harmless the Chamber, the Firms, the Government of Canada and their respective directors, officers, partners, personnel, agents and representatives from and against any liability, loss, claim and expense arising in respect of your (a) use of the Service, or (b) your failure to comply with these Terms.

5. PRIVACY

By calling the support line and using the Service you consent to our collection, use, and storage of your personal information, and the disclosure of your personal information to certain third parties in connection with the Service, all as further set out in our Privacy Notice available through a link on this website.

6. MISCELLANEOUS

The Firms and the Government of Canada are third party beneficiaries of these Terms, able to rely on and enforce them.  If you are calling on behalf of a business or organization, you are also agreeing to these Terms on behalf of your business or organization, and you represent that you have authority to bind your business or organization (and all references to “you” and “your” in these Terms means both you and your business or organization).  You acknowledge that we may suspend or terminate the Service and/or your access to the Service at any time, with or without notice to you, for any reason.  The provisions of these Terms governing limitations of liability and indemnities will survive the termination or expiration of the Service for any reason. These Terms constitute our entire agreement with respect to your use of the Service.  No change or modification to these terms and conditions shall be valid unless made in writing and signed by both parties.

7. GOVERNING LAW

These Terms and all matters relating to your access to, and use of, the Service shall be governed by, and construed in accordance with, the laws of the Province of Ontario and the laws of Canada applicable therein.  Any legal suit, action or proceeding arising out of or relating to the Services shall be instituted solely in the courts in the Province of Ontario, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action or proceeding.
